Terms & Conditions
These Terms & Conditions (“Terms”) govern your booking and use of services provided by U Good Entertainment LLC (“Company,” “we,” “us,” “our”). By confirming a booking, signing a proposal/contract, or paying an invoice, you agree to these Terms.
1) Quotes, Bookings & Payments
- Quotes are valid for 14 days unless stated otherwise.
- A signed agreement and non-refundable retainer are required to secure a date; remaining balance is due per the contract (typically prior to event start).
- We accept electronic payments (e.g., Square or HoneyBook). Cashier’s checks may be accepted by prior arrangement.
2) Changes, Cancellations & Rescheduling
- Client may request changes in writing. Additional services/time may incur added fees.
- Client cancellations for any reason forfeit the retainer. If cancellation occurs within the window stated in your agreement, additional fees may apply.
- Reschedules are subject to availability; retainers may be transferred to a new date at our discretion.
3) Venue, Power & Access
- Client must ensure adequate power, access, and safe load-in/out conditions.
- Outdoor events require appropriate weather protection and compliant power.
- Setup space and equipment placement must meet venue safety rules and capacity limits.
4) Performance & Music
- We honor do-not-play and must-play lists within reason and venue policy.
- Clean/edited music can be provided upon request.
- We reserve professional discretion to manage volume, requests, and flow for safety and event success.
5) Media, Recording & Promotion
- We may capture brief photo/video of the event for portfolio and social media unless you opt out in writing prior to the event.
- Client will secure any required venue/guest permissions for recordings if applicable.
6) Delays, Overtime & Breaks
- Client-caused delays may reduce performance time without refund.
- Overtime, if available, is billed in increments stated in your agreement and due immediately.
7) Equipment Loss/Damage
- Client is responsible for preventing guest interference with equipment.
- Damage caused by Client, guests, or venue negligence may be billed at repair/replacement cost.
8) Safety, Weather & Force Majeure
- We may suspend or modify services if conditions are unsafe (e.g., weather, crowd, power).
- Neither party is liable for failure to perform due to events beyond reasonable control (e.g., severe weather, government action, illness, power failure). Refunds/credits handled per agreement language.
9) Liability Limits
To the fullest extent permitted by law, our total liability for any claim related to services is limited to the amounts paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
10) Insurance & Documents
We carry general liability insurance and can provide a W-9 and COI upon request. Additional insured certificates may be available; fees may apply depending on venue requirements.
11) Client Responsibilities
- Provide accurate event details, timeline, and contacts in advance.
- Obtain necessary licenses/permissions (e.g., venue approvals, access times).
- Designate an on-site point of contact during the event.
12) Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflicts principles. Venue and jurisdiction lie in the state or federal courts located in Delaware.
13) Changes to Terms
We may update these Terms from time to time. The version posted on this page supersedes prior versions.
